# ISPECIMEN Buys Foldlab AI Models in $4.5M Cash-and-Stock Deal

**iSpecimen** **(ISPC)** has signed an asset purchase agreement dated September 4, 2026 to buy the software, AI models, source code, documentation and related intellectual property behind the *Disease-Associated Protein Discovery AI Agent* and the *Disease Trend Prediction and Monitoring AI Model* from Foldlab AI Ltd., a British Columbia company. The aggregate purchase price is $4.5 million, split between $2 million in cash and $2.5 million in shares.

Of the cash portion, $750,000 is payable at closing by wire transfer. The remaining $1.25 million is structured as two milestone payments of $625,000 each, payable only after the relevant product has been fully delivered, tested and accepted under the acceptance criteria set out in the agreement.

The stock consideration is the number of whole shares equal to $2.5 million divided by the VWAP, issued at closing and deposited with an escrow agent. Those shares are subject to a five-year escrow, lock-up and *no-leak-out* restrictions, alongside a separate voting rights agreement.

Foldlab must deliver Milestone 1 within 90 days of closing and Milestone 2 within 180 days. iSpecimen then has 30 days to test each deliverable in its own testing environments, and the seller gets 30-day cure periods with a maximum of three cure cycles at the buyer's discretion.

The agreement is explicit that no milestone payment is earned for partial performance, incomplete delivery, a failed test or an unresolved material defect. If a milestone product is deemed rejected, iSpecimen retains the transferred assets for that product and withholds the payment as its sole remedy.

Ownership of the transferred assets, including work in progress, improvements and derivative works created during testing, passes to iSpecimen regardless of whether a milestone is accepted or paid. The buyer assumes only the liabilities expressly listed in the agreement, with all other seller obligations excluded.

For a company of iSpecimen's size, the transaction marks a shift from its biospecimen marketplace toward owning AI discovery and disease-monitoring tooling, and the share issuance adds a dilution element that is locked up for five years.
