IVECO Tender Offer From Tata Motors Unit Opens 7 September at €14.10

TML CV Holdings B.V., a vehicle wholly owned by TML CV Holdings Pte. Ltd. of the Tata Motors commercial-vehicle group, has published the offer document for its voluntary totalitarian tender offer on all common shares of Iveco Group (IVG). Consob approved the document by resolution no. 24119 of 3 September 2026, and the acceptance period runs from 8:30 a.m. CEST on 7 September 2026 to 5:30 p.m. CEST on 26 October 2026, unless extended.

Shareholders who tender will receive €14.10 per common share, cum dividend. Payment is due on the fourth trading day after the close of the acceptance period, which without an extension means 30 October 2026.

If the legal requirements are met, the acceptance period will be reopened for five trading sessions from 2 to 6 November 2026, with settlement for those shares on 13 November 2026.

The offer document carries the issuer's position statement, the independent directors' opinion under Article 39-bis of the Issuers' Regulation, a fairness opinion from Rothschild & Co Italia and a further fairness opinion from Goldman Sachs Bank Europe SE, Italian branch, which advised the board.

The bid remains subject to the fulfilment, or waiver, of each of the effectiveness conditions set out under Warning A.1 of the offer document. BNP Paribas, Italian Branch, is the intermediary coordinating the collection of acceptances, and Georgeson S.r.l. is acting as global information agent.

The offer is being launched in Italy and extended to the United States under Section 14(e) and Regulation 14E of the U.S. Securities Exchange Act, subject to the exemptions in Rule 14d-1(d). It has not been and will not be promoted in Canada, Japan, Australia or other jurisdictions where authorisation is lacking.

For Iveco shareholders the publication sets the concrete timetable and price at which the Turin-based truck and bus maker would pass into Tata Motors' commercial-vehicle arm, with the first opportunity to tender starting on 7 September.
